1. Agreement to Terms

By accessing our website at zeengocorp.com, downloading our mobile applications (including Dial Master and NoteVault), or using any service provided by ZeengoCorp Innovations ("Company", "we", "us"), you agree to be bound by these Terms of Service and to comply with all applicable laws and regulations. If you disagree with any of these terms, you are prohibited from using or accessing this site and its affiliated products.

These terms apply to all visitors, users, and others who access or use our services, including the zeengocorp.com website, Dial Master mobile application, NoteVault mobile application, and any associated APIs or dashboards.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on ZeengoCorp Innovations's website and mobile applications for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials;
• Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
• Attempt to decompile or reverse engineer any software contained on the website or mobile applications;
• Remove any copyright or other proprietary notations from the materials;
• Transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by ZeengoCorp Innovations at any time.

3. Product-Specific Terms

3.1 Dial Master

Dial Master is a mobile-first auto-dialer CRM application for Android. By using Dial Master, you additionally agree to:

• Use the auto-dialing functionality only for lawful business communications and in compliance with applicable telemarketing and do-not-call regulations in your jurisdiction;
• Not use the application for spam, harassment, or any form of unsolicited communication prohibited by law;
• Ensure that all leads and contacts imported into Dial Master have been obtained through lawful means;
• Comply with the Telecom Regulatory Authority of India (TRAI) regulations if operating within India.

Dial Master's free-forever plan provides SIM-native auto-dialing, lead pipeline management, and basic gamification at no charge. Premium features, when available, will be subject to separate subscription terms published within the application.

3.2 NoteVault

NoteVault is an encrypted notes application for Android. By using NoteVault, you additionally agree to:

• Understand that NoteVault uses device-level encryption and we do not have access to your encryption keys or note contents;
• Accept that if you lose your device or encryption credentials, ZeengoCorp Innovations cannot recover your encrypted data;
• Not use NoteVault to store content that violates any applicable law.

NoteVault Premium ($1.49/month) provides enhanced storage and features. Subscription management is handled through Google Play.

4. Subscriptions & Billing

Certain products offer premium subscriptions and in-app currency ("Coins" in Dial Master). All payments are processed securely through Google Play or direct enterprise invoicing. Key billing terms:

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period;
• You can manage or cancel subscriptions through Google Play Store settings;
• Enterprise invoicing terms are agreed separately and governed by individual service agreements;
• In-app currency (Coins) has no real-world monetary value and cannot be exchanged for cash.

5. Refund Policy

Refunds for subscriptions purchased through Google Play are governed by Google Play's refund policy. For enterprise invoicing, refund terms are specified in the individual service agreement. In-app currency purchases are non-refundable once credited to your account.

If you believe you have been charged in error, contact us at contact@zeengocorp.comwith subject line "Billing Inquiry" within 30 days of the charge.

6. Intellectual Property

All content, features, and functionality of zeengocorp.com, Dial Master, NoteVault, and all affiliated products — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof — are the exclusive property of ZeengoCorp Innovations and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The names "ZeengoCorp", "ZeengoCorp Innovations", "Dial Master", "NoteVault", and "ZeengoGPT" are trademarks of ZeengoCorp Innovations. You may not use these marks without the prior written permission of ZeengoCorp Innovations.

7. User-Generated Content

Our products may allow you to store, manage, or transmit content ("User Content"). You retain all rights to your User Content. By using our services, you grant ZeengoCorp Innovations only the limited rights necessary to provide the services to you — for example, storing your data on our servers or transmitting it at your direction.

For NoteVault specifically, your encrypted note contents are stored locally on your device. We do not access, read, or process the contents of your encrypted notes.

8. Limitation of Liability

In no event shall ZeengoCorp Innovations or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on ZeengoCorp Innovations's website or mobile applications, even if ZeengoCorp Innovations or an authorized representative has been notified orally or in writing of the possibility of such damage.

To the maximum extent permitted by applicable law, ZeengoCorp Innovations's total aggregate liability for all claims arising out of or relating to these Terms or our services shall not exceed the amount you paid to ZeengoCorp Innovations in the twelve (12) months preceding the claim, or ₹5,000 (INR), whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless ZeengoCorp Innovations, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

11. Compliance with India's Digital Personal Data Protection Act (DPDPA) 2023

ZeengoCorp Innovations processes personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDPA). As a Data Fiduciary under the DPDPA, we:

• Process personal data only for lawful purposes with valid consent;
• Provide clear notice about data processing at the point of collection;
• Respect your right to access, correct, and erase your personal data;
• Implement reasonable security safeguards to protect personal data;
• Do not retain personal data beyond the period necessary for the stated purpose.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to These Terms

ZeengoCorp Innovations reserves the right to revise these Terms at any time. Material changes will be communicated through a notice on our website or within our applications. Continued use of our services after changes constitutes acceptance of the revised Terms.
